Terms and Conditions

This Terms and Conditions (hereafter “T&C”, “Agreement”) is made and agreed to between YOU (hereafter “customers”, “users”) and The Company (hereafter “PCY”, “we”, “us”, “CC”, “chopchop”)

  1. General Acknowledgement

1.1 These Terms and Conditions are the terms and conditions for the use of the Services and/or Products and/or any other services and/or activities provided by us, PCY Innovation Sdn. Bhd. (1266475-U), a company incorporated in Malaysia and having its principal business address at No. 16, Lorong 56, Taman Petani Jaya, 08000 Sungai Petani, Kedah (“PCY”) to our Customer.

1.2 You are advised to and shall be deemed to have read these Terms and Conditions carefully before registering and creating a ChopChop User Account and/or ChopChop Merchant Account and/or start using the Services. By registering, accessing and using the Services, you shall be subjected to and hereby agree to be bound by the provisions of these Terms and Conditions.

1.3 Upon your acceptance and agreement to register and create a ChopChop User Account and/or ChopChop Merchant Account, these Terms and Conditions constitute a legally-binding agreement between PCY and YOU. If you do not agree with these Terms and Conditions, in whole or in part, please discontinue with the registration process and the use of Services.

CC may modify this Agreement from time-to-time, with or without notice, and your continued use of any of the Services and/or Products or continued maintenance of an account with CC shall constitute and be deemed to be your acceptance of such modification and your consent to abide by any terms thereof.

  1. Service License

Subject to this Agreement, CC hereby grants you a revocable, non-exclusive, non-transferable license (without the right to sublicense) to access and use the CC Platforms and the Services solely use for your personal and/or business own by you. You agree that you obtain no rights other than the rights and licenses expressly granted under this Agreement. CC reserves the right to change, upgrade or discontinue any or all of the Services or the CC Platforms or any feature of the Services or the CC Platforms, at any time, with or without notice. All rights not expressly granted under this Agreement are reserved by CC and its licensors.

  1. Registration and Eligibility

 

3.1 To access to and utilize the Service, you are required to register and create a ChopChop User Account (hereafter “CCUA”). By registering and creating a CCUA Account, you warrant that you are at least Eighteen (18) years of age. In the event you are below the age of Eighteen (18), you shall obtain the necessary parental and/or legal guardian consent to proceed with the registration process.

3.2 For registering and creating a CCUA Account and in order to access and utilise the Services:-

you must be a registered subscriber of any telecommunication provider in Malaysia; and

you must provide personal details such as your full name, identity card number or passport number, email address, phone number, mailing address, date of birth, nationality and such additional information or supporting documents may be required by CC; and you must create a username and password to log-in and access to CCUA Account.

3.3 In the event incorrect phone number is inserted, CCUA Account will not be able to link and access to CC. Whereupon, Customer may opt to create another new CCUA Account or replace a valid and active phone number.

 

3.4 CCUA Account shall be effective from the date where Customer’s registration is approved and verified by CC, which will be signified by availability of CCUA Account to the Customer. CC shall have the absolute discretion in approving, declining and/or suspending all and any registration and/or request to create a CCUA Account, with or without cause. Once a CCUA Account is approved for usage, it shall remain effective until and unless it is terminated in accordance with these Terms and Conditions.

 

3.5 Upon registration, Customer shall enter a six (6) digit unique number of Transaction Authorization Code (TAC) delivered to Customer’s phone for the authentication purpose.

 

3.6 In the event that Customer wishes to cancel and delete the CCUA Account after registration, CC will take an immediate action to do so. Any balance (reward point / cash back / cash balance) (if any) shall be refunded through correspondence process with Customer.

 

3.7 The Customer is prohibited from registering a CCUA Account using false information and/or other person’s details. Anyone caught impersonating other Customer or any other party(ies), whether an individual or another legal entity, will be responsible for any costs and/or losses incurred as a result of their fraudulent activity. Improper use of CC and/or CCUA Account may result in immediate termination / suspension of CCUA Account and report will be lodged by CC to the relevant authorities.

 

  1. CC Account (User Account)

 

Some of the Services require the user to maintain an account with CC. A user may create an account free of charge by providing the relevant details requested for. Use of the account and the Services (including the opportunity to earn reward point(s)) are offered at the sole discretion of CC and subject to your compliance with this Agreement.

An individual shall not create or have control and/or custody over multiple CC accounts. In particular:

(a) Each mobile number may only be linked to one CC account;
(b) Each payment account (e.g. each bank account) may only be linked to one CC account.;

A failure to abide by any terms and conditions, any fraud or abuse relating to the accrual or receipt of reward point(s) and/or other rewards, and/or any misrepresentation of any information furnished to CC or its affiliates may result in your CC account being flagged for suspicious activity and suspended or terminated and any reward point(s) accumulated being forfeited. You are responsible for regularly checking your account to ensure reward point(s) has been properly credited and that your account balance is up to date. You must notify CC of any omissions, incorrect entries or discrepancies concerning any transaction within 30 days after that transaction. CC reserves the right not to correct any omissions, incorrect entries or discrepancies brought to its attention after the 30-day period.

  1. Warranties and Responsibility

5.1 By registering, maintaining and using a CCUA Account, the Customer warrants represents and undertakes the following, that:

  • The information provided is, and shall at all time remains, true and correct;
  • Users has the legal capacity, authority and ability to enter into and accept these Terms and Conditions;
  • Users shall not use the Services for any illegal activities (including without limited to money laundering and illegal money-lending activities) and/or in such manner that is in violation to any applicable laws or regulations;
  • Users shall not breach any provisions of these Terms and Conditions; and
  • Users shall comply with all applicable laws, ordinances, codes, rules, regulations, notices, instructions and/or directives of the relevant authorities or any notices, instructions, directives or guidelines given by CC.

5.2 Username and Password

  • CCUA Account is accessible via the username/mobile number and password created and maintained by the Customer. Customer shall be solely responsible for safeguarding and protecting his username and password at all times.
  • All activity(ies) that occurs on its CCUA Account shall be deemed to have been validly carried out by the Customer.
  • In the event Customer shares his credential with any other party or allow any other party to access to and use his CCUA Account, Customer being the account holder shall be solely liable and responsible for all transactions carried out therein. CC will not be liable in whatsoever manner for any losses caused by an unauthorised use of the CCUA Account
  • If there is any breach of security or any unauthorized access to the CCUA Account, Customer shall immediately notify CC in the manner as set out in these Terms and Conditions.

5.3 CCUA Account Transactions

CC does not provide any hardcopy statement of account in respect of CCUA Account. The Customer shall be responsible for all his/her transactions and for keeping track of his/her CCUA Account through his/her account history.

The Customer shall be responsible to check and verify all transactions in its CCUA Account including without limitation, the transaction amount and recipient information for third-party Family and Friend Service. CC shall not be obligated to process any request for reversal of wrongful entry as a result of Customer’s negligence

5.4 Abusing the CCUA Account may result in immediate termination or suspension of a CCUA Account. CC reserves the right, from time to time, to request from the Customer additional information in which case the Customer shall provide the information so required failing which the CCUA Account may be terminated and/or suspended by CC at its sole discretion.

5.5 The Customer shall immediately notify CC upon receipt of incomplete, garbled or inaccurate data or information or any data or information, which is not intended from CC or any doubtful information or message. The Customer shall delete such data or information from his mobile phone.

5.6 The Customer acknowledges that the Customer’s name and such other personal information may be made available for identification purpose to another Customer, bank, Merchant, and/or its appointed payment gateway service provider(s) for the purpose of performing a payment process or transaction.

5.7 CC, Merchants, and/or its appointed payment gateway service provider(s) shall not be liable for any losses suffered by the Customer’s use of the CC and/or CCUA Account (which would include, without limitation, the Customer’s careless management of CC or CCUA Account; and disclosing his username and password to any third party).

5.8 CC makes reasonable efforts to ensure that requests for payments involving bank accounts, credit cards and 3rd party payment gateway are processed promptly. CC make no representations or warranties regarding the amount of time needed to complete transactions because our Service is largely dependent upon many factors outside of our control.

5.9 Where prescribed account and transaction limits are applicable to specific purchases or other transactions by the Customer, have been notified to the Customer, the Customer shall not exceed the prescribed set limit unless prior written approval to exceed these limits are obtained by the Customer from CC.

5.10 Notwithstanding that a prescribed CCUA Account and CC Account Limits may not be notified to the Customer, CC may from time to time at its sole discretion set such limits for its control purposes without informing the Customer.

  1. Terms of Use of The Services

6.1 ChopChop Point Reward / Stamp Reward / Cash Back / Other form of Reward and/or Bonus (hereafter “CCP”) is made available by CC at its absolute discretion, for the following:

  • The payment for purchase of products and services provided by CC and the Merchant in accordance with these Terms and Conditions; and
  • Such other new services as may be introduced by CC from time to time.

6.2 CCP is not transferable or assignable to any third party without CC’s prior written permission and shall be used exclusively by CCUA Customer.

6.3 Any payment made by Customers through CCUA Account shall be recorded in CC’s database, CC will record the beneficiary in its computer database and CCP will be debited and/or credited up to an amount equal to the payment received (subject to, as the case may be, the Services used by Customer).

6.4 CC shall not be liable for any costs, loss or damage (whether direct or indirect) or for loss of revenue, loss of profits or any consequential loss whatsoever as a result of Customer’s use of CCP for unauthorised purposes.

6.5 In the effort to provide safe operations, reliable and quality Services to the Customer, CC may perform the following safety, security and operational reliabilities precaution measures on CC and CCUA Platform System:

  • Blacklist Database

All blacklisted username, IP address and emails by CC will be rejected when attempting to register and/or transact through CCUA. Blacklisted database is based on the following categories:

  • Unverified PayPal Account / Any Bank Account / Any Banking Detail
  • Suspected several failed attempts through Payment Gateway
  • Used for any or such other transactions in CC’s reasonable opinion view that there is unusual, irregular, suspicious, fraudulent, illegal or authorised activity carried out.
  • Fraud Monitoring – CC has established fraud unit to identify traits and patterns that are associated with fraudulent orders.
  • 3-D Secure Compliance – “Verified by Visa” (by Visa) and “MasterCard SecureCode” (by MasterCard) is new authentication which involve cardholders to authorize the online transaction by entering their security password or answer some security questions by the card issuer.
  • Automated Blocking – CC will perform a verification checking on Bank Accounts that made transactions through CCUA in 1×24 hour. Customer will be required to fulfil the verification form and Customer that failed to respond will result in a permanent-blocked account on CCUA and transaction will be refunded in immediate action. Otherwise, Customer may continue to utilize the Services after getting verified.

6.6 Risk – Customer acknowledges that the Customer shall use CCP and/or CCUA Account at its own risks. The Customer shall be solely liable for all losses and damages arising from and in connection with the use of CCP and/or CCUA Account, including without limited to:

  • The risk of loss arising from insolvency of CC;
  • Cessation, termination or disturbance Services; and
  • Lost or stolen CCP stored in CCUA Account as a result of breach of security, fraudulent transactions and unauthorized access.
  1. Reward Point Earning, Redemption or Exchange

Among services offered by CC is the opportunity to earn reward point(s) and/or cash back and/or stamp chop (hereafter “CCP”) on purchases made at our various merchant partners through our various CC Platforms. Creating and maintaining an account with CC is required before a user can start earning CCP(s). Crediting of CCP(s) is also subject to the various terms, conditions and requirements, express or implied, associated with the crediting of CCP(s) in general or terms, condition and requirements associated with the individual promotions that would be applicable. These terms, conditions and requirements include but are not limited to:

  • Requiring the user to have cookies enabled throughout when accessing the CC Platforms and subsequently the merchant partner’s website;
  • Not opening a separate tab or browser while accessing the CC Platforms and subsequently the merchant partner’s website;
  • Ensuring that after being redirected to the merchant partner’s website, the user completes the transaction before proceeding to any other website;
  • Completing the purchase on the merchant’s website within a given period of time;
  • Not engaging in any fraudulent or dishonest conduct and/or abiding by the terms of this Agreement or any other terms and conditions stipulated by CC or the applicable merchant partner

In addition, certain purchases may be excluded from CCP(s). In general, CCP(s) is earned on net purchase amount excluding shipping and handling. However, CCP(s) amounts and exclusions vary from merchant partner to merchant partner and individual promotions may contain specific exclusions. Please review these terms carefully. These exclusions are subject to change without notice, and CC hereby disclaims any and all liability in connection with any incorrect information or failure to include information on the list of exclusions. Some examples of typical exclusions include (but are not limited to):

  • CCP(s) not being eligible when purchasing promotional items or using other discount codes,   coupons or other promotions; unless have other stated;
  • CCP(s) only being eligible when the transaction is completed using specified payment methods; and
  • Different tiers of eligible CCP(s) for different users (e.g. different tiers of CCP(s) for new users and

existing users.

  1. Merchant Partner Policies 

Any products or services purchased from any merchant partner, whether through CC or otherwise, is governed by and subject to the applicable merchant partner’s policies and terms and conditions, including but not limited to the applicable return, cancelation, exchange, and shipping policies. You agree that we are not agents of any merchant partner and that the merchant partner operates independently and not under our control. Accordingly, your participation in offers or promotions of, or correspondence with, any merchant partner is solely between you and that merchant partner. We do not assume any liability, obligation or responsibility for any part of such correspondence, offer or promotion, including, without limitation, the withdrawal or modification of any such offer or promotion. CC is not responsible for changes to, or discontinuance of any merchant partner from any of CC’s platforms or the termination of any promotion offered by any merchant partner on any of CC’s platforms, or for any effect on accrual of reward point(s) caused by such changes, discontinuance, or withdrawal. CC assumes no responsibility and shall not be liable for any content, product and/or services on the merchant’s platforms (including but not limited to the quality, merchantability or fitness of such products or services or that such content, product and/or services does not breach any laws or regulations).

  1. Top-Up and Deductions

CC reserves the right from time to make top-ups and deductions from the balance in a user’s account where it is necessary, reasonable, or expedient to do so. This includes (but is not limited to) situations where CCP(s) has been incorrectly credited into a user’s account and/or where a user is found to have acted fraudulently, dishonestly, or in contravention of the terms of this Agreement.

  1. Redeeming CCP

You may redeem your CCP(s) at any time subject to the terms and conditions of this Agreement or the specific conditions that relate to the individual entries in your account. You must have accumulated CCP(s) relating to a value more than or equal to the minimum redemption amount indicated and communicated from time to time. In order to redeem your CCP(s), you must maintain an active account and provide the minimum relevant information required to process the redemption (e.g. a valid Identification Number / Mobile Number / and/or any personal information)

  1. Nature of CCP

For the avoidance of doubt, you do not gain any proprietary right or assets held by CC when you earn CCP(s) in your account. The CCP(s) accrued in your account does not constitute monies held on trust by CC for your benefit. Your rights and entitlements are solely limited to such personal or contractual rights of repayment as may arise out of this Agreement.

  1. Termination and Suspension of CCUP Account / CC Account

The CCP(s) accumulated in your CC account shall expire if your account remains inactive (i.e. no successful transactions are made through CC) for a period of more than a year. CC reserves the right to suspend or terminate your account or where it is necessary or reasonable to do so in order to comply or satisfy and law, regulation or court

CC reserves the right, at its absolute discretion and at any time, to immediately suspend/terminate the Customer’s use of CCUA Account for any reason, including without limitation the following circumstances:

  • In the opinion of CC, the Customer involved in anything which is dishonest, fraudulent, illegal, misrepresentation and/or criminal in nature;
  • The Customer is in breach of any of the provisions of these Terms and Conditions or engages in any conduct prejudicial to CC or CCUA Platform System;
  • The Customer is in breach of any acts, statutes, laws, by-laws, rules and/or regulations imposed by any party, regulatory body or government agency;
  • The Customer has submitted false documents or declares false information in relation to the registration for CCUA Account for such other purposes in connection with CC / CCUA Platform System.
  1. Personal Data Act

Personal Data collected is subject to our Privacy Policy, which is hereby incorporated by reference, and copy of which is located on CC’s website / CC mobile application.

  1. Bonuses and Reward

CC periodically offers bonuses or rewards for performing certain actions (such as referring new users to CC). The terms and conditions accompanying such offers will govern how they are earned and paid. You are prohibited from bidding on keywords containing “CC” / “ChopChop” or other similar words or marks for the purpose of driving traffic to you page. You shall not send any paid traffic directly to your referral link. You may not include your referral link or distribute your referral link on any website or platform that does not belong to you, such as social media pages belonging to merchants or forum pages belonging to third parties.

  1. Taxes / Fees and Charges

You are responsible for any and all taxes that may apply to amounts earned from CCP(s) you have redeemed. CC makes no representation as to the tax treatment of such amounts.

  1. Disputes and Complaints

16.1 Any disputes regarding CCUA Account and/or CCP transactions and/or billing must be communicated in writing to CC’s customer service within ONE (1) months from the date of such transaction(s) and Customer shall furnish with all necessary supporting documents as and when requested.

16.2 If CC does not receive written notice within ONE (1) months, Customer are deemed to have agreed that bills and transactions are accurate and shall pay the amount as billed for using CCP. An administrative charge may be imposed for dispute raised by Customer.

16.3 Customer agree and consent to the disclosure and release by CC of any information in the possession of CC pertaining to the Customer, the particulars of the transaction(s) or any designated account relating to the transaction(s) for the purpose of investigating any claim or dispute arising out of or in connection with the transaction(s) under CC.

16.4 Customer may report any complaint or raise any report (including un-authorised access, fraudulent transaction) through careline (011-2416 6220) and CC will response within [7 Days] upon receipt of Customer’s compliant or report. Customers are required to provide Full name, phone number and Transaction ID when lodging any compliant and/or report.

16.5 Any dispute raised, Customer further agrees that should CC terminate/suspend CCUA Account, CC shall not be obliged to refund or return any CCP in the form of real currency (MYR) until clearance is obtained from the relevant authorities.

  1. Fraud

CC may suspend or terminate your account if it has reason to believe are involved in any fraudulent or dishonest activities. Any failure to comply with this Agreement, any fraud, dishonesty or abuse relating to the use of the services or your account, or any misrepresentation of any information furnished to CC or its affiliates by you or anyone acting on your behalf may result in the termination of your account and forfeiture of your accrued CCP(s) rewards.

  1. Third-Party Rights

A person who is not party to this Agreement has no rights to enforce any terms of this Agreement.

 

 

 

  1. Communications

By becoming a CC user, you agree to receive communications that are account and user related (e.g. that we’ve added CCP(s) to your account) as well as periodic shopping related e-mails that highlight coupons or special deals available to CC users. We may communicate with you regarding your account by electronic communications or direct mail using information you provide during the registration process. Your consent to receive electronic communications includes any notices or other information that we may be required by law to provide you in writing or otherwise. You agree to keep us appraised of your current e-mail address should the same change subsequent to the date you become a Member. We may also send you push notifications if you install the mobile application.

  1. Ownership

All rights, title, and interest in the Services, the CC Platforms and the Content associated with or on the same belong to CC or its licensors. Additionally, CC shall maintain all rights, title, and interest in “ChopChop”, and any other marks, service marks, trademarks, or logos of CC (the “ChopChop”) that are registered in Malaysia and other countries. The CC Marks may not be used in connection with any non-CC product or service in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits CC. You shall not by any means bid on, apply for, register, own or control any keywords or marks containing “ChopChop” or anything substantially similar to “ChopChop” or any other  Mark including, without limitation, chopchop.asia and with any search engine, domain service provider or any intellectual property office whatsoever. You shall not mention or use ChopChop in any ad text, extension, or banner ad without express written consent of ChopChop. All other trademarks not owned by ChopChop that are used in providing the Services are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by CC.

  1. Community Standards

By creating a CC account, you are becoming a member of a community that depends on the goodwill and responsible behaviour of each of our users. Users are required to refrain from transmission or communication of images or text constituting ethnic slurs, obscenities, sexually explicit material, inflammatory or derogatory comments, or anything else that may be construed as harassing or offensive, which is targeted at the Services, the CC Platforms, our employees, contractors or agents, our merchant partners, or other users. This includes communications by means of social media or other internet posts which violate the above community standards or promote or encourage gaming or fraudulent behaviour. Users who violate this provision, as determined by us in our absolute discretion, may have the accounts suspended or terminated without prior notice.

  1. Indemnification

You agree to indemnify CC, any merchant partners, as well as their respective officers, directors, employees, successors, agents, and affiliates, for any and all claims, damages, losses and causes of action (including attorneys’ fees and court costs) arising out of or relating to your breach of this Agreement or for any materials in any form whatsoever that are provided by you (or through your username and/or password). You agree to cooperate as fully as reasonably required in our defence and/or settlement of any claim. We reserve the right, in our reasonable discretion, to assume exclusive control over the defence and settlement of any matter subject to indemnification by you.

  1. Warranty Disclaimer

The Services, content, and the CC Platforms are provided “as is” and without warranty of any kind, express or implied, including without limitation, warranties of title, merchantability, fitness for a particular purpose or non-infringement. We make no warranty as to the quality, accuracy, correctness, completeness, reliability or validity of the Services, content or the CC Platforms, including without limitation, any product search results, product descriptions, product availability, pricing information advice, opinion, statement, recommendations, or other information displayed, uploaded or distributed in connection with the Services. CC does not warrant that the functionality of the CC Platforms will be uninterrupted or error-free, that defects will be corrected, or that they will be free of viruses or other harmful content. Further, CC does not warrant, guarantee or make any representations regarding the quality of, or accuracy of advertisements for, any products or services offered or provided by its affiliate stores in conjunction with the services.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CC be liable for any special, incidental, consequential, exemplary, punitive or other indirect damages or for any loss profits, loss data or loss of use damages, even if it has been advised of the possibility of such damages.

  1. Governing Law and Arbitration

These Terms and Conditions shall be governed by the laws of Malaysia and the parties agree to submit to the jurisdiction of the courts of Malaysia in the event of any claims or disputes.

  1. Assignment

You may not assign your rights and obligations under this Agreement, in whole or in part, without prior written consent, and any such assignment without such consent will be null and void.

  1. Waivers / Severability

Any failure to enforce any provision of this Agreement on the part of CC will not be deemed a waiver of that provision. Any waiver of any provision of this Agreement by CC on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. If any provision of this Agreement is held to be invalid, such invalidity shall not affect the remaining provisions.

This Agreement (together with the additional terms and conditions referred hereto or generally) represents the entire agreement of the parties with respect to the subject matter hereof, and supersedes all prior or contemporaneous agreements and representations, written or oral (including without limitation, earlier version of this Agreement that may have been accepted by you). We reserve the right to modify this Agreement at any time. Your continued use of any of the CC services or continued maintenance of an account with CC shall constitute and be deemed to be your acceptance of such modification and your consent to abide by any terms thereof.
